Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the HW-Bench website and the content, benchmark results, research, data, materials, and other resources made available through it (collectively, the “Site”). The Site is provided by Arena Technologies, Inc. (“Arena,” “we,” “us,” or “our”). By accessing or using the Site, you agree to these Terms. If you do not agree to these Terms, you may not access or use the Site.

1. Changes to These Terms

We may modify these Terms from time to time. The current version of these Terms will be posted on the Site and will identify the date on which it was last updated. Your continued use of the Site after revised Terms become effective constitutes your acceptance of the revised Terms. Your use of the Site is also subject to our Privacy Policy.

2. HW-Bench

HW-Bench is a hardware engineering benchmark and research initiative designed to evaluate the performance of artificial intelligence models and systems on hardware engineering tasks. The Site may include benchmark tasks, methodologies, evaluation criteria, model outputs, scores, rankings, research findings, schematics, data, software, text, graphics, images, and other materials (collectively, “Content”).

HW-Bench may evaluate third-party models, products, or services. Unless expressly stated otherwise, references to third-party companies, models, products, or services do not constitute an endorsement, sponsorship, or affiliation. We may add, remove, modify, rerun, or reevaluate benchmark tasks, methodologies, models, results, scores, rankings, or other Content at any time.

3. Benchmark Results and Research

HW-Bench results reflect particular evaluations performed using specified tasks, inputs, methodologies, configurations, and conditions. Results may vary based on model versions, configurations, infrastructure, prompts, tools, randomness, testing conditions, or other factors.

Benchmark scores, rankings, comparisons, research findings, and other Content are provided for informational and research purposes only. They are not guarantees or representations regarding the performance of any model, product, service, or system in any particular application or environment.

You should independently evaluate whether any model, product, service, or system is appropriate for your particular purposes.

We do not guarantee that any Content is accurate, complete, current, reproducible, or applicable to your particular circumstances.

4. Use of the Site and Content

The Site and Content are owned by Arena or made available to Arena by third parties and are protected by intellectual property and other applicable laws.

Subject to these Terms, you may access and use publicly available portions of the Site and Content for your personal, internal business, research, or informational purposes.

Except as expressly permitted by us or applicable law, you may not:

• (a) sell, license, sublicense, or commercially redistribute the Content;
• (b) reproduce, modify, publish, distribute, or create derivative works from the Content;
• (c) remove or alter copyright, trademark, attribution, or other proprietary notices;
• (d) use the Site or Content in a manner that falsely suggests sponsorship, endorsement, or affiliation by Arena, HW-Bench, or any HW-Bench partner;
• (e) use automated means to scrape, crawl, harvest, download, or systematically extract Content from the Site without our prior written permission;
• (f) interfere with or disrupt the Site or any systems or networks connected to the Site;
• (g) circumvent or attempt to circumvent access controls, security measures, usage restrictions, or technical limitations;
• (h) access or attempt to access nonpublic benchmark materials, evaluation data, partner materials, systems, or other information that you are not authorized to access;
• (i) manipulate, game, compromise, or interfere with HW-Bench evaluations or results, including by obtaining or using nonpublic evaluation materials to influence benchmark performance; or
• (j) use the Site or Content in violation of applicable law or the rights of any person or entity.

Any additional terms accompanying particular Content, datasets, software, repositories, or other materials will govern your use of those materials to the extent they conflict with these Terms.

5. Contributions and Feedback

From time to time, we may permit or invite companies, researchers, engineers, and others to contribute designs, data, evaluation materials, feedback, suggestions, or other materials to HW-Bench.

Any nonpublic materials contributed to HW-Bench will be governed by the applicable agreement or other terms between Arena and the contributor. These Terms do not grant the public any rights in nonpublic materials provided by HW-Bench partners or contributors.

If you voluntarily provide us with feedback, ideas, or suggestions regarding HW-Bench without entering into a separate written agreement governing that submission, you grant Arena a worldwide, perpetual, irrevocable, royalty-free right to use and incorporate that feedback, idea, or suggestion without restriction or compensation to you.

Do not submit confidential, proprietary, or sensitive information through the Site unless Arena has expressly agreed to receive that information under separate written terms.

6. Trademarks

The names, trademarks, service marks, and logos of Arena and HW-Bench are owned by Arena or its licensors. Other company, product, model, and service names appearing on the Site may be trademarks of their respective owners.

Nothing in these Terms grants you any right to use any trademark, service mark, logo, or trade name displayed on the Site except with the prior written permission of its owner.

7. Third-Party Sites and Services

The Site may contain links to third-party websites, repositories, models, products, services, or other resources (“Third-Party Services”). We provide these links for convenience and informational purposes only.

Arena does not control and is not responsible for Third-Party Services, and your use of Third-Party Services is subject to the terms and policies of the applicable third party.

8. Disclaimer of Warranties

THE SITE AND CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARENA AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, LICENSORS, AND PARTNERS (COLLECTIVELY, THE “ARENA PARTIES”) DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, THE ARENA PARTIES MAKE NO WARRANTY OR REPRESENTATION REGARDING THE ACCURACY, COMPLETENESS, RELIABILITY, REPRODUCIBILITY, TIMELINESS, OR USEFULNESS OF THE SITE, CONTENT, BENCHMARK METHODOLOGY, SCORES, RANKINGS, RESULTS, OR RESEARCH FINDINGS.

YOU USE AND RELY ON THE SITE AND CONTENT AT YOUR OWN RISK.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL ANY ARENA PARTY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SITE OR CONTENT, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF THE ARENA PARTIES ARISING OUT OF OR RELATING TO THE SITE, CONTENT, OR THESE TERMS WILL NOT EXCEED $100.

Some jurisdictions do not permit certain exclusions or limitations of liability, so some of the foregoing limitations may not apply to you. In those jurisdictions, liability will be limited to the greatest extent permitted by law.

10. Indemnification

You agree to defend, indemnify, and hold harmless the Arena Parties from and against claims, actions, proceedings, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or relating to your violation of these Terms, your misuse of the Site or Content, or your violation of applicable law or the rights of another person or entity.

Arena reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with Arena in defending the matter.

11. Suspension and Termination

Arena may restrict, suspend, or terminate your access to all or any portion of the Site at any time if we reasonably believe you have violated these Terms or if necessary to protect the Site, Arena, our partners, or other users.

We may modify, suspend, or discontinue all or any portion of HW-Bench, the Site, or the Content at any time.

Sections of these Terms that by their nature should survive termination will survive termination, including provisions regarding intellectual property, disclaimers, limitations of liability, indemnification, and miscellaneous terms.

12. Compliance with Laws

You are responsible for complying with all laws applicable to your use of the Site and Content, including applicable export control and sanctions laws.

You may not access, export, re-export, transfer, or use the Site or Content in violation of United States export control or sanctions laws.

13. Miscellaneous

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws principles.

You agree that any dispute arising out of or relating to these Terms, the Site, or the Content will be subject to the exclusive jurisdiction of the state and federal courts located in New York County, New York.

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

Arena’s failure to enforce any provision of these Terms will not constitute a waiver of that provision.

These Terms constitute the entire agreement between you and Arena regarding your use of the Site and supersede any prior or contemporaneous agreements regarding that subject matter, except for any separate written agreement between you and Arena that expressly governs particular Content, contributions, or services.
